Client Service Agreement

1. Introduction and Scope

This Client Service Agreement ("Agreement") governs your use of the ZT Nation platform (the "Platform") as a customer seeking home services. By submitting a service request, accepting a quote, or otherwise using the Platform to connect with a Service Provider, you agree to be bound by this Agreement, our Terms of Service, and our Privacy Policy.

IMPORTANT: ZT Nation is a technology platform that connects you with independent professionals ("Service Providers"). ZT Nation does not perform, supervise, guarantee, or control any home improvement, construction, repair, or maintenance work. When you hire a Service Provider through the Platform, you are entering into a direct contractual relationship with that Service Provider — not with ZT Nation.

2. How the Platform Works for Clients

When you use the Platform to find a Service Provider, the process works as follows:

1. Describe Your Project: You provide details about the home service you need, including your property address, the type of work, and any relevant details. You may interact with our AI-powered chatbot to describe your needs.
2. Receive an Estimate: The Platform generates an AI-powered estimated price range based on property data, historical job data, and market conditions. This estimate is for informational purposes only and is not a binding quote, offer, or guarantee of price.
3. Contractor Matching: The Platform matches you with qualified, vetted Service Providers who are available and meet the compliance requirements for your type of project.
4. Receive a Contractor Quote: The matched Service Provider reviews your project details and provides their own independent quote. This quote may differ from the Platform's AI estimate. The Service Provider's quote is the binding price, subject to any adjustments after on-site inspection.
5. Accept or Decline: You review the Service Provider's quote, credentials, and ratings. You are free to accept or decline at your sole discretion. There is no obligation to hire any Service Provider.
6. Direct Engagement: If you accept, you enter into a direct agreement with the Service Provider. The Service Provider performs the work. You pay the Service Provider directly.

3. Your Relationship with the Service Provider

When you accept a Service Provider's quote and authorize work, you are entering into a direct contractual relationship with that Service Provider. You acknowledge and agree that:

• Direct Contract: Your agreement is with the Service Provider, not with ZT Nation. ZT Nation is not a party to any contract between you and a Service Provider.
• Service Provider Responsibility: The Service Provider is solely responsible for the quality, safety, timeliness, and legality of all work performed. The Service Provider carries their own insurance, licenses, and warranties.
• Payment: You pay the Service Provider directly for all services rendered. ZT Nation does not collect payment from you for home services (except for optional deposit processing through our secure payment system).
• Warranties: Any warranties or guarantees on workmanship are provided by the Service Provider under their own business terms — not by ZT Nation. Ask your Service Provider about their warranty policy before authorizing work.
• Disputes: Any disputes about the quality, scope, completion, or cost of work are between you and the Service Provider. See our Dispute Resolution Policy for information about how ZT Nation may assist.

4. What ZT Nation Provides

ZT Nation provides the following technology services to you as a client:

• AI-powered estimated price ranges for informational purposes
• Matching with vetted Service Providers who meet our compliance requirements
• Technology-based verification of Service Provider credentials (licenses, insurance, bonding)
• A secure communication channel between you and your matched Service Provider
• Job status tracking and notifications via SMS and email
• An optional secure deposit payment system (processed by Stripe)
• A review and rating system to share your experience
• Courtesy mediation assistance for disputes (at our sole discretion)

5. What ZT Nation Does NOT Provide

ZT Nation does NOT:

• Perform, supervise, or control any construction, repair, or home improvement work
• Employ, direct, or manage any Service Provider
• Guarantee the quality, safety, timeliness, or outcome of any work performed
• Provide any warranty or guarantee on workmanship or materials
• Set, approve, or negotiate final prices between you and a Service Provider
• Guarantee the accuracy of AI-generated price estimates
• Guarantee the accuracy, completeness, or currency of Service Provider credentials
• Act as your agent, representative, or advocate in any dispute with a Service Provider
• Provide legal, financial, construction, or professional advice of any kind
• Insure you against any loss, damage, or injury arising from work performed by a Service Provider

6. Your Responsibilities

As a client using the Platform, you agree to:

• Provide accurate and complete information about your project and property
• Independently verify the Service Provider's credentials, references, and qualifications before authorizing work
• Obtain a written quote from the Service Provider before authorizing work
• Ensure that any required permits are obtained (either by you or the Service Provider, as agreed)
• Provide safe access to the work site
• Pay the Service Provider promptly for completed work as agreed
• Communicate honestly and professionally with Service Providers
• Leave honest and accurate reviews of your experience

7. Deposits and Payment Processing

The Platform may offer an optional secure deposit payment system for certain jobs. If you choose to pay a deposit through the Platform:

• Deposits are processed securely through Stripe and are applied toward the total job cost
• The deposit amount is determined by the Service Provider's preferences and the job value
• Deposits are paid to the Service Provider, not to ZT Nation
• Refund policies for deposits are governed by your agreement with the Service Provider and applicable law
• ZT Nation is not responsible for disputes over deposit refunds — these are between you and the Service Provider

8. AI-Generated Content Disclaimer

The Platform uses artificial intelligence to provide price estimates, chatbot interactions, contractor recommendations, and other content. You acknowledge and agree that:

• AI-generated content is provided for informational and convenience purposes only
• AI-generated price estimates are not binding quotes and may differ significantly from the Service Provider's actual price
• AI systems may produce inaccurate, incomplete, or misleading information
• You should not rely solely on AI-generated content when making decisions about home services
• Always obtain a written quote directly from the Service Provider before authorizing work

9. Communications Consent

By using the Platform and providing your contact information, you consent to receive:

• Automated SMS text messages regarding job status, contractor matching, and payment confirmations
• Email notifications about your service requests and account
• Review and feedback requests after job completion

You may opt out of SMS communications at any time by replying STOP. You may opt out of email communications by clicking the unsubscribe link in any email. Standard message and data rates may apply.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZT NATION SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO ANY WORK PERFORMED OR NOT PERFORMED BY A SERVICE PROVIDER, INCLUDING BUT NOT LIMITED TO PROPERTY DAMAGE, PERSONAL INJURY, DEATH, FINANCIAL LOSS, OR ANY OTHER DAMAGES OF ANY KIND.

ZT NATION'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PLATFORM SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, IN SUCH JURISDICTIONS ZT NATION'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless ZT Nation, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your interactions with Service Providers, your violation of this Agreement, or your violation of any applicable law.

12. Dispute Resolution

Disputes between you and ZT Nation are subject to the dispute resolution and arbitration provisions in our Terms of Service. Disputes between you and a Service Provider are governed by your direct agreement with that Service Provider. ZT Nation may offer courtesy mediation as described in our Dispute Resolution Policy, but is not obligated to do so.

13. Modifications

ZT Nation may modify this Agreement at any time by posting the updated version on the Platform. Your continued use of the Platform after any modification constitutes acceptance of the updated Agreement.
