Series LLC Structure

1. What Is a Series LLC?

ZT Nation, LLC is organized as a Wyoming Series Limited Liability Company under the Wyoming Limited Liability Company Act (Wyo. Stat. § 17-29-101 et seq.). A Series LLC is a special type of limited liability company that allows for the creation of separate "series" within a single parent LLC. Each series can have its own assets, liabilities, members, and managers — and the liabilities of one series are legally shielded from the other series and from the parent company.

2. Why ZT Nation Uses a Series LLC Structure

ZT Nation operates across 37 home service categories (such as plumbing, electrical, HVAC, roofing, landscaping, and more) with plans to expand nationwide. The Series LLC structure provides several advantages for this business model:

• Liability isolation: Each service vertical can operate as its own series, meaning that a legal claim or liability arising from one vertical does not put the assets of other verticals at risk. This protects the overall business and the contractors and customers in unrelated verticals.
• Operational efficiency: Rather than forming 37 separate LLCs (one for each service category), the Series LLC structure allows ZT Nation to manage all verticals under a single entity with internal separation. This reduces administrative overhead, filing fees, and complexity.
• Scalability: As ZT Nation expands into new verticals or new states, new series can be created without forming entirely new legal entities.
• State compliance: Each series can be registered and compliant in the specific states where it operates, allowing for state-by-state regulatory compliance without requiring separate entities.

3. How This Affects You

For Customers

When you request a home service through ZT Nation, your service request is processed through the series associated with that service vertical. This means:

• Your contractual relationship for a plumbing job is with the plumbing series, not with the roofing series or any other vertical
• Your personal data is handled in accordance with our Privacy Policy and Data Processing Addendum, which apply across all series
• The Terms of Service, Dispute Resolution, and all other Platform policies apply uniformly across all series

For Contractors

When you join the ZT Nation referral network, your Independent Contractor Referral Agreement is with the series associated with your trade vertical(s). This means:

• Your referral relationship is specific to the vertical(s) you operate in
• Referral fees, compliance requirements, and performance standards are managed at the series level
• If you operate in multiple verticals, you may have relationships with multiple series
• The Contractor Code of Conduct and all Platform policies apply uniformly across all series

4. Wyoming Formation

ZT Nation chose Wyoming for its formation because Wyoming offers:

• Statutory recognition of Series LLCs under the Wyoming LLC Act
• Strong asset protection provisions
• No state income tax
• Business-friendly regulatory environment
• Privacy protections for LLC members

While ZT Nation is formed in Wyoming, it operates and is registered to do business in all states where it provides services, in compliance with each state's foreign LLC registration requirements.

5. Legal Disclosures

• Governing law: All agreements with ZT Nation are governed by the laws of the State of Wyoming, unless a specific state's consumer protection laws provide greater protections, in which case those laws apply.
• Dispute resolution: Disputes are resolved through our Dispute Resolution process, which includes mandatory arbitration with a class action waiver (subject to opt-out rights as described in the Terms of Service).
